Terms of Service

1. Agreement to Terms
By accessing or using the services of PT Alpha Code Technologies ("Alpha Code", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
2. Services
Alpha Code provides cybersecurity and technology consulting services including but not limited to:
- Managed Security Services (MSSP)
- Security Operations Center (SOC) services
- DevSecOps consulting and implementation
- Security assessments and audits
- IT consulting and managed services
Specific service scope, deliverables, and timelines will be defined in individual service agreements or statements of work.
3. Client Obligations
Clients agree to:
- Provide accurate and complete information necessary for service delivery
- Grant appropriate access to systems and resources as required
- Cooperate with Alpha Code personnel in a professional manner
- Comply with all applicable laws and regulations
- Safeguard all credentials and access rights
The Client shall be responsible for any loss or damage arising from its failure to comply with the above obligations.
4. Payment Terms
Payment terms will be specified in individual service agreements. Unless otherwise stated:
- Invoices are due within thirty (30) days from the invoice date
- Late payments may incur interest at the maximum rate permitted under applicable Indonesian law
- Alpha Code reserves the right to suspend or withhold Services for non-payment
- All fees are exclusive of applicable taxes, duties, and governmental charges
- All fees paid or payable under these Terms are non-refundable, unless expressly agreed otherwise in writing
5. Confidentiality
Both parties agree to maintain the confidentiality of all proprietary and sensitive information disclosed during the course of the engagement. This obligation survives termination of services.
Alpha Code implements industry-standard security measures to protect client data and maintains strict confidentiality protocols in accordance with our Privacy Policy.
6. Data Protection
Alpha Code complies with Indonesian data protection regulations, including UU No. 27 Tahun 2022 tentang Perlindungan Data Pribadi (Personal Data Protection Law). Please refer to our Privacy Policy for detailed information on how we collect, use, and protect your data.
7. Limitation of Liability
To the maximum extent permitted by Indonesian law:
- Alpha Code's liability is limited to the fees paid for the specific services giving rise to the claim
- We are not liable for indirect, consequential, or punitive damages
- We do not guarantee complete prevention of all security incidents
- Clients are responsible for maintaining backups and business continuity plans
8. Intellectual Property
Unless otherwise specified in a separate Service Agreement, Alpha Code retains all rights, title, and interest in and to its methodologies, tools, frameworks, and intellectual property.
The Client is granted a limited, non-exclusive, non-transferable license to use the Deliverables solely for its internal business purposes.
No transfer of ownership is intended or implied under these Terms.
9. Termination
Either Party may terminate these Terms in accordance with the applicable Service Agreement.
Upon termination: (a) all outstanding fees shall become immediately due and payable; (b) Confidential Information shall be returned or destroyed; (c) payment, confidentiality, liability, and indemnification obligations shall survive termination; and (d) termination shall not release either Party from accrued obligations.
10. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Republic of Indonesia.
Any dispute arising out of or in connection with these Terms shall first be resolved through good faith negotiation.
If no settlement is reached within thirty (30) days, the dispute shall be finally resolved by arbitration under the rules of Badan Arbitrase Nasional Indonesia (BANI) in Jakarta.
The arbitral award shall be final and binding upon the Parties.
11. Changes to Terms
Alpha Code reserves the right to modify these Terms at any time. Material changes will be communicated to active clients. Continued use of our services after changes constitutes acceptance of the modified Terms.

13. Indemnification
The Client shall indemnify and hold harmless Alpha Code from claims arising from: (a) misuse of the Services; (b) violation of law; (c) inaccurate data provided by the Client.
Alpha Code's indemnification applies only to Deliverables solely developed and owned by Alpha Code and excludes third-party platforms and technologies.
This indemnification does not apply to claims arising from unauthorized modification, misuse, or combination with third-party systems.
14. Force Majeure
Neither Party shall be liable for failure to perform due to events beyond reasonable control, including natural disasters, government actions, cyber incidents, or infrastructure failures.
The affected Party shall promptly notify the other Party and resume performance as soon as practicable.
15. Entire Agreement & Amendments
These Terms, together with any executed Service Agreement and Order Form, constitute the entire agreement between the Parties.
They supersede all prior agreements and understandings.
In case of inconsistency, the Order Form prevails for service scope and commercial terms.
Amendments must be in writing and signed by authorized representatives.
